We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to affected clients.

User Obligations

Service Agreements and Payment Terms

Specific terms for our consulting services, including scope of work, deliverables, timelines, and fees, will be outlined in separate service agreements or statements of work.

Payment terms will be specified in your service agreement. Generally, invoices are due within 30 days of the invoice date unless otherwise agreed.

All fees are exclusive of taxes, duties, and other governmental charges, which shall be your responsibility.

We reserve the right to suspend services for overdue payments and to charge interest on late payments as permitted by law.

Confidentiality

We understand that in providing our services, we may have access to confidential and proprietary information about your business. We commit to maintaining the confidentiality of such information and will not disclose it to third parties without your consent, except as required by law.

Similarly, any proprietary methodologies, strategies, or confidential information shared by luminorixa.top during our engagement should be kept confidential by you.

This confidentiality obligation shall survive the termination of our service relationship.

Limitation of Liability

To the maximum extent permitted by applicable law, luminorixa.top AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

We provide our services "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless luminorixa.top AS and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of our services caused damage to a third party

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

You may terminate your use of our services at any time by discontinuing your use of the website and services.

Upon termination, your right to use our services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Specific termination terms for ongoing service engagements will be outlined in your service agreement.

Governing Law

These Terms shall be interpreted and governed by the laws of Denmark, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Denmark, and you hereby consent to the personal jurisdiction and venue therein.

If you are a consumer resident in the European Union, you also enjoy the protection of the mandatory provisions of the law of your country of residence, and you may bring legal proceedings in either Denmark or your country of residence.

Dispute Resolution

We encourage you to contact us first if you have any concerns or disputes regarding our services. Many issues can be resolved through direct communication.

If a dispute cannot be resolved through direct negotiation, we agree to attempt to resolve it through mediation before resorting to litigation.

For consumers in the EU, you may also use the European Commission's Online Dispute Resolution platform available at ec.europa.eu/consumers/odr/.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

Severability
